These Affiliate Terms (“Affiliate Terms”) apply to your participation in sharp10’s Affiliate Program (“Affiliate Program”) and serve as an enforceable contract between you and sharp10. They detail further the information provided on this page: www.sharp10.com/affiliates-and-partners/.
By participating in the Affiliate Program, you agree that you have read and understand these Affiliate Terms and that you agree to be legally responsible for each and every term and condition herein.
All capitalized terms not otherwise defined herein shall have the meaning ascribed to them in these Affiliate Terms or in sharp10’s Terms of Use.
These Affiliate Terms contain the complete terms and conditions that apply to you when becoming an affiliate in the Affiliate Program.
The purpose of these Affiliate Terms is to allow you to earn affiliate commissions through referrals of new paying subscribers to sharp10 in the manner set forth herein.
2.1 Application completion. To join the Program, you must complete the sharp10 affiliate registration including your name, email address, and identifying your website or promotional channel, describing how you plan to promote sharp10, and providing certain contact information.
2.2 Acceptance of your Application. sharp10 may accept or reject your application at its sole discretion. Applications may be rejected if information is incorrect or incomplete, or if your promotional channel violates applicable laws, intellectual property rights, or contains offensive content.
2.3 Access to Affiliate Program. Once accepted (normally in real-time), you will receive a welcome email with login details (One-Time-Password or OTP) for your affiliate account. From there, you can download marketing materials, access referral links, and view reports of earned commissions. You are responsible for keeping your login information (= your email address) secure.
2.4 Information accuracy. You must keep your account information, including email address, accurate and up-to-date. sharp10 may send communications to the email on file, and you will be deemed to have received all notifications sent to that email.
As a member of the Affiliate Program, you represent, warrant, and agree that you will:
3.1 Promote sharp10 via Referral Links. Implement links, banners, and other materials (“Referral Materials”) provided by sharp10 in accordance with program guidelines.
3.2 Maintain your promotional channels. Keep content accurate and up-to-date, reflecting current sharp10 offerings and specifications.
3.3 Follow applicable laws. Comply with all relevant laws, including copyright, privacy, and advertising regulations.
4.1 Monitoring compliance. sharp10 may monitor your promotional channels to ensure compliance. You must make requested changes promptly.
4.2 Customer relationship. All referred users are customers of sharp10. sharp10 determines eligibility for services, subscriptions, and program terms.
4.3 Prohibited marketing practices.
Affiliates may not:
4.3.1 Misrepresent sharp10 or create misleading impressions.
4.3.2 Bid on sharp10-branded keywords without approval.
4.3.3 Use sharp10 trademarks in domain names or social media pages without approval.
4.3.4 Promote sharp10 on websites with illegal, offensive, misleading, or defamatory content.
4.3.5 Use cookie-stuffing, automated click generators, or fraudulent means to trigger referral tracking.
4.3.6 Copy sharp10 media or content in a way that mimics the sharp10 website or branding.
4.3.7 Use spyware, malware, viruses, or unauthorized software in connection with promotion.
4.4. Disclosure. Affiliates must be transparent about their relationship with sharp10 and may not imply employment or authority to bind sharp10.
5.1 Eligibility. You earn commissions only for referrals that convert from the free trial to a paid subscription.
5.2. Commission rate.
5.2.1 Standard: 20% of Net Sales.
5.2.2 Tiered: 25% if you refer more than 20 paid subscriptions.
5.3 Referral tracking. Based on cookies, valid for 30 days, with the last cookie counting if multiple links are used.
5.4 Payments. Commissions are paid monthly, via bank transfer or PayPal, after a minimum threshold of USD 20 is reached. Refunds, cancellations, or chargebacks reduce or void commissions.
5.5 Taxes and fees. Affiliates are responsible for any taxes, fees, or costs incurred in connection with receiving payments.
6.1 Affiliates are granted a non-exclusive, non-transferable, revocable license to use sharp10 branding and marketing materials solely for promotion.
6.2 Both parties agree not to use each other’s proprietary materials in a way that disparages or misrepresents the other.
sharp10 makes no express or implied warranties regarding the Program or your earnings. There is no guarantee of sales or commissions.
sharp10 will not be liable for indirect, incidental, consequential, or special damages, including lost profits, arising from your participation in the Program.
Total liability will not exceed the total commissions paid to you under this Agreement.
You agree to indemnify and hold harmless sharp10, its employees, and affiliates from any claims or damages arising from your breach of these Affiliate Terms.
10.1 Either party may terminate this Agreement at any time, with or without cause, by providing written notice (including email).
10.2 Termination does not affect earned but unpaid commissions.
sharp10 may update these Affiliate Terms at any time. Material changes will be communicated by email. Continued participation constitutes acceptance of updated terms.
12.1 Independent contractors. Affiliates are independent contractors; no partnership or employment relationship is created.
12.2 Assignability. You may not assign your rights or obligations; sharp10 may assign its rights freely.
12.3 Governing law. These Affiliate Terms are governed by the laws of Switzerland. Place of jurisdiction: Zürich.
12.4 Entire agreement. These Affiliate Terms constitute the entire agreement between you and sharp10 regarding the Affiliate Program.
12.5 Severability. If any provision is invalid, the remainder remains in effect.
By participating in the sharp10 Affiliate Program, you agree to these Affiliate Terms.
